This Seller Agreement governs how you list, sell, and get paid on BuyerBaba, operated by Maroof LLC. It applies in addition to the Conditions of Use and Privacy Notice. By registering as a seller or listing an item, you agree to these terms.
1.This Seller Agreement is a binding contract between you and Maroof LLC, operator of the BuyerBaba marketplace, governing your registration and activity as a seller. It applies in addition to our Conditions of Use and Privacy Notice. You accept it during seller onboarding and each time you list or sell on BuyerBaba. If you do not agree, do not register or sell.
2.You must be able to form a binding contract and, where you sell as a business, be authorized to act for that business. You agree to provide accurate, complete business and identity information and to keep it current. BuyerBaba may require verification and may decline, limit, suspend, or close a seller account that does not meet our requirements or that presents legal or risk concerns.
3.Identity, tax, and bank verification needed to receive payouts are handled by our payments partner, Stripe, through its onboarding. You authorize us to rely on that verification, and you agree that payouts are held until it is complete. You are responsible for the accuracy of the tax information you provide (for example, taxpayer identification and any forms required for US tax reporting such as Form 1099-K where thresholds are met).
4.You are responsible for your listings — including title, condition, price, stock, images, and disclosures — and for keeping them accurate. You may list only lawful items you have the right to sell, and you must comply with our policies and applicable law. Misleading, inaccurate, counterfeit, or non-compliant listings may be corrected, removed, or suppressed, and related payouts may be held.
5.You must not list items that are illegal, stolen, counterfeit, recalled, unsafe, infringing, or otherwise restricted under our policies or applicable law; some categories are permitted only subject to conditions. BuyerBaba may remove any listing and hold, reverse, or recover related payouts, and may suspend selling privileges, for breaches of this section.
6.BuyerBaba charges a commission and any applicable fees on completed sales, deducted from your proceeds. The current fee schedule is shown in Seller Central and before you list; we will give advance notice of changes. Optional paid services you choose — such as buying a shipping label through the platform — are charged at the stated rate and netted from your payouts.
7.Buyer payments are processed by our payments partner. Your proceeds — the order total net of fees, refunds, and adjustments — are paid out on the applicable schedule and only for completed, eligible orders. New accounts, risk signals, disputes, and pending verification may result in payout holds or reserves. If your balance goes negative (for example, due to refunds or chargebacks), you authorize us to recover the amount from future proceeds or by other lawful means.
8.Where BuyerBaba acts as a marketplace facilitator, we may calculate, collect, and remit applicable sales tax on covered transactions. You remain responsible for your own income and other taxes, for any taxes we do not collect, and for the accuracy of the tax details you provide. You are responsible for determining and meeting your own tax-registration and reporting obligations.
9.You agree to fulfil orders promptly, within the handling and delivery times you set, and to provide valid tracking where required. Orders that are shipped late, cancelled by you, or left unfulfilled affect your account health and may be cancelled and refunded to the buyer at our discretion.
10.You agree to honour the platform’s Shipping & Returns policy and to review and resolve return, refund, and cancellation requests fairly and on time. Where a request is not resolved, is wrongly declined, or a payment dispute is decided against you, we may resolve it in the buyer’s favour and debit the corresponding amount from your proceeds or balance.
11.Your seller account is measured on metrics such as defect, late-shipment, and cancellation rates, valid-tracking rate, and buyer feedback. Falling below the published thresholds may lead to warnings, listing or volume limits, payout holds, or suspension. Sustained or serious breaches may result in termination.
12.You must own or have the rights to the content and products you list and must not infringe others’ trademarks, copyrights, patents, or other rights. You grant BuyerBaba a non-exclusive, worldwide, royalty-free licence to host, display, and use your listing content to operate and promote the marketplace. The BuyerBaba name, logo, and platform remain the property of Maroof LLC or its licensors.
13.You may use buyer information only to fulfil orders and provide related support. You must keep it secure, must not sell it or use it for unsolicited marketing, and must handle all personal data in line with our Privacy Notice and applicable data-protection law. On termination, or when no longer needed, you must stop using and securely delete buyer personal data except where the law requires you to retain it.
14.You must not divert transactions off-platform to avoid fees or buyer protections, solicit buyers to transact elsewhere, post or incentivize fake or manipulated reviews, manipulate pricing, search, or rankings, engage in deceptive or abusive practices, or harass buyers, other sellers, or our staff. Such conduct may lead to immediate suspension and forfeiture of at-risk proceeds to cover related liabilities.
15.You may stop selling at any time. BuyerBaba may suspend or terminate your selling privileges for breach, risk, or legal reasons, with notice where practicable. Pending obligations — open orders, returns, refunds, chargebacks, reserves, and fees — survive termination, and we may withhold or apply payouts and reserves to satisfy them.
16.The Service is provided “as is”. To the fullest extent permitted by law, Maroof LLC is not liable for indirect, incidental, special, or consequential losses arising from your selling activity, and our total liability is limited as set out in the Conditions of Use. You agree to defend, indemnify, and hold harmless Maroof LLC from claims, losses, and reasonable costs arising from your products, listings, fulfilment, use of buyer data, or breach of this agreement or applicable law. You are the seller of record for your items and bear product, safety, and warranty responsibility for them.
17.BuyerBaba may update this agreement as the marketplace develops. Material changes will be posted with a new effective date and, where appropriate, will require your re-acceptance. Continuing to sell after a change takes effect means you accept it.
18.This agreement is governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict-of-law rules. Before starting formal proceedings, you agree to first try to resolve any dispute informally by contacting us through Seller Central and allowing 30 days to resolve it. The state and federal courts located in the Commonwealth of Virginia, United States have exclusive jurisdiction over disputes that are not resolved informally, subject to any mandatory rules that apply to you.
